General Terms and Conditions

1. General

1.1 These general terms and conditions apply to all services and agreements of Sanecom Systems, established in Belgium, which provides automation services to companies.

1.2 By using our services, you agree to these general terms and conditions.

2. Services

2.1 Sanecom Systems provides automation services, including sending e-mails, text messages and notifications, and storing and managing data in our CRM system.

2.2 At the request of the customer, additional services or customization can be provided for an agreed fee.

3. Invoicing and Payment

3.1 Services are invoiced on a monthly basis, unless otherwise agreed. A discount may be applied for annual payment.

3.2 Payment must be made within 15 days after the invoice date, unless otherwise agreed in writing.

3.3 If the customer requests an additional service or customization, a separate quote will be drawn up for this and invoiced after approval.

3.4 In the event of late payment, Sanecom Systems reserves the right to temporarily or permanently suspend the service.

4. Delivery and Service Guarantees

4.1 Sanecom Systems guarantees that all automations are extensively tested before they are delivered to the customer.

4.2 In the event of service interruptions or errors in the automations, Sanecom Systems will act as quickly as possible to resolve the problems.

4.3 If an automation is temporarily unavailable due to an error by Sanecom Systems, the customer can request a refund for the period in question. Refunds are only provided at the customer's request.

5. Termination of the Agreement

5.1 The customer can terminate the agreement by contacting Sanecom Systems by telephone or e-mail.

5.2 Termination must take place before the start of the new month or year, depending on the payment frequency (monthly or annual).

5.3 If not terminated in time, the agreement will be automatically extended for the next period.

6. Liability

6.1 Sanecom Systems is not liable for direct or indirect damage, loss of income or other damage resulting from the use of our services, unless there is intent or gross negligence.

6.2 Sanecom Systems' liability is in any case limited to the amount paid by the customer in the three months prior to the incident.

6.3 Sanecom Systems advises customers to take appropriate measures themselves to prevent data loss or damage.

7. Applicable Law and Disputes

7.1 Belgian law applies to all agreements between Sanecom Systems and its customers.

7.2 Disputes arising from these agreements will be submitted to the competent courts in the district where Sanecom Systems is established.

8. Privacy and Data Processing

8.1 Sanecom Systems processes personal data in accordance with its privacy policy.

8.2 If data from customers of your customers is processed by us in the context of automation, we act as a processor. It is your responsibility to ensure that this data is collected and provided in accordance with privacy legislation.

9. Force Majeure

9.1 Sanecom Systems is not liable for delays or failure to fulfill obligations due to force majeure, including but not limited to disruptions in external systems, natural disasters, or other events beyond our reasonable control.

10. Changes to the General Terms and Conditions

10.1 Sanecom Systems reserves the right to change these general terms and conditions. Any changes will be communicated to the customer at least 10 days before they come into effect.

10.2 If the customer does not agree with the changes, he has the right to terminate the agreement.
